These Terms govern your use of Orbita OS (the "Service") provided by Antonio Huerta Flores ("we", "us", "our"). By accessing or using the Service you agree to be bound by these Terms.

1. The Service

Orbita OS is a software-as-a-service platform for restaurants, providing point-of-sale, reservations, inventory, financial reporting and AI-assisted operations.

2. Acceptance

By creating an account or continuing to use the Service you accept these Terms. If you are using the Service on behalf of a business, you confirm you have authority to bind that business.

3. Acceptable use

You agree not to: (a) use the Service for unlawful purposes; (b) commit fraud, send spam, or engage in deceptive practices; (c) infringe intellectual property of others; (d) attempt to probe, scan, or interfere with the security of the Service; (e) introduce malware; or (f) reverse engineer, scrape, or resell the Service.

4. Account & credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it up to date.

5. Intellectual property

The Service, including all software, documentation, and branding, is owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your subscription plan.

6. Your content

You retain ownership of data you submit to the Service. You grant us a limited license to host, process and display your content solely to provide the Service.

7. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellation and refund mechanics are governed by Paddle's Buyer Terms.

8. Service availability

We strive to keep the Service available 24/7 but do not guarantee uninterrupted or error-free operation. Scheduled maintenance and unforeseen events may cause downtime.

9. Suspension and termination

We may suspend or terminate your access for material breach, non-payment, security or fraud risk, or repeated/serious policy violations. Upon termination you will have a reasonable window to export your data, after which it may be deleted.

10. AI features

The Service includes generative AI features (the "Copilot"). You are responsible for your prompts and how you use AI outputs. Outputs may contain inaccuracies and must not be used as a substitute for professional advice. You must not use AI features to generate illegal content, hate speech, deepfakes, or to attempt jailbreaks. We may filter outputs, refuse requests, or suspend accounts for misuse. We may receive takedown requests and act on them, including for repeat infringement.

11. Warranties & liability

To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind. Our aggregate liability for any claim is limited to fees paid in the prior 12 months. We exclude liability for indirect, consequential, special, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where prohibited by law.

12. Indemnity

You agree to indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

13. Changes

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice.

14. Governing law

These Terms are governed by the laws of Switzerland. Disputes shall be resolved in the competent courts of Vaud, Switzerland.
